Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Apex Frontier LLC ("Company", "we", "us", "our") at kingbryo-ai.com, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

2. Description of Services

Apex Frontier LLC provides AI API infrastructure services including but not limited to:

• Intelligent AI model routing and optimization
• Multi-provider AI API access and management
• GPU compute allocation and management
• AI cost analytics and optimization tools
• Cloud infrastructure consulting services

3. Account Registration

To use our services, you must register for an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Subscription and Payment Terms

Services are billed monthly in advance. By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are in US Dollars. We reserve the right to change pricing with 30 days written notice. Failed payments may result in immediate service suspension.

Payment is processed by our payment partners (Lemon Squeezy, Stripe). We do not store your payment card information directly.

5. Free Trial

New accounts receive $500 in free usage credits. No payment method is required during the free trial period. Credits expire 30 days after account creation if unused. One free trial per person or organization.

6. Acceptable Use Policy

You agree NOT to use our services to:

• Generate illegal, harmful, or abusive content
• Violate intellectual property rights of any party
• Attempt to reverse engineer or hack our systems
• Resell or sublicense services without written authorization
• Engage in any activity that violates applicable laws
• Transmit malware, viruses, or malicious code
• Conduct unauthorized penetration testing

We reserve the right to suspend accounts that violate this policy without refund.

7. Service Level Agreement (SLA)

We target 99.9% monthly uptime for all services. Planned maintenance windows will be announced 24 hours in advance and excluded from uptime calculations. Service credits of 10% of monthly fees per 0.1% downtime below SLA will be applied to your next invoice upon request.

8. Data and Privacy

We do not store your AI prompts or responses. Usage metadata (token counts, request timestamps, model selections, costs) is retained for billing and analytics purposes. See our Privacy Policy at kingbryo-ai.com/privacy for full details on data handling.

9. Intellectual Property

All content, technology, and materials on our platform are owned by Apex Frontier LLC or our licensors. You retain ownership of all content you process through our services. You grant us a limited license to process your content solely to provide the services.

10. Confidentiality

Both parties agree to maintain confidentiality of any proprietary information shared during the course of the business relationship. This obligation survives termination of these Terms for a period of 3 years.

11. Disclaimer of Warranties

Services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that services will be uninterrupted, error-free, or meet your specific requirements. AI model outputs are provided by third-party providers and we make no warranty regarding their accuracy.

12. Limitation of Liability

Apex Frontier LLC's total cumulative liability to you for any claims arising from these Terms shall not exceed the total amount paid by you in the 3 months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

13. Indemnification

You agree to indemnify and hold harmless Apex Frontier LLC from any claims, damages, or expenses arising from your use of the services, violation of these Terms, or infringement of any third-party rights.

14. Termination

Either party may terminate with 30 days written notice. We may terminate immediately for material violations of these Terms. Upon termination, your access will cease and your data will be deleted within 30 days. You remain liable for all charges incurred before termination.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email 30 days in advance. Continued use of services after changes constitutes acceptance of the new Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in Delaware, except for injunctive relief which may be sought in any court of competent jurisdiction.
